Quotation/placement of order/acceptance of an order

Offers, orders, and other agreements are always subject to our terms and conditions. They are also deemed to have been accepted by placing an order or accepting the delivery. Uncontradicted order confirmations are deemed to have been expressly recognized by the customer. Differing terms and conditions of the business partner are non-binding for us even without express objection. Offers are non-binding until our order confirmation. We reserve the right of prior sale for items offered or promised for delivery from stock. Information contained in printed documents is permissible unless we have expressly designated them as binding. The order is only deemed to have been accepted if it has been confirmed by us in writing or will be delivered immediately without confirmation. Subsequent changes require our written confirmation or approval. The customer is liable for the correctness of the documents he has provided (such as drawings, samples, gauges, etc.). and information about conditions of use. Verbal information about dimensions and the like requires written confirmation or approval. Samples are supplied against payment. Offers, correspondence, order confirmations or documents, or samples provided for other reasons remain our property, may not be misused, and are subject to copyright. Reproduction, imitation, or passing on are not permitted. We reserve the right to make design changes and changes in the interests of progressive further development.

Prices

The prices are in € (Euro) plus VAT, including packaging, ex works Dornstetten, or in the case of export shipments also ex works, packaging, freight, postage and value insurance are not included, the same also applies to partial shipments Shipments are required, €8.50 per shipment will be charged for shipping costs. For a delivery time of up to 2 months calculated from the day of the order confirmation, the confirmed prices apply, otherwise the prices valid on the day of delivery will be charged.

Delivery

The buyer agrees to partial deliveries and, in the case of special productions, to reasonable under- or over-deliveries, unless otherwise expressly agreed. Each partial delivery is considered an independent transaction within the meaning of the terms and conditions. Cancellations of orders or provisions require our written consent. Costs already incurred are dated to replace the customer. Tool returns are only possible with our consent. If tools are returned, the sender agrees to an appropriate deduction for revision/improvement etc. Custom-made products are not taken back. Shipments are always sent at the expense and risk of the customer.

Delivery time

Delivery times are non-binding. The term begins when the order confirmation or production release is issued. Reasonable delivery delays do not entitle the buyer to cover purchases, claims for damages, or offsetting of damages caused by delay or withdrawal from the purchase contract. Events of "force majeure" such as operational disruptions, lack of raw materials, rejects, etc. release us from the obligation to deliver for the duration of the disruptions and to the extent of their effects. Events of this kind also entitle us to unilateral release from the contract, provisions, or partial cancellation of agreements made, excluding any claims by the buyer. The same applies to untimely or correct delivery by sub-suppliers. The supplier is also not responsible for these obstacles to delivery if they occur during a delay that has already occurred.

Terms of payment

You can currently pay in the online shop via credit card and Paypal. You will then receive an invoice, as well as your BuKaRa customer number. Checks and bills of exchange are accepted as payment, they are only considered payment after they have been honored. Discount and collection charges are at the expense of the submitter and are payable immediately. In the event of default in payment, we are entitled to demand costs incurred and standard bank interest or, if the situation deteriorates, to make the delivery against prepayment or cash on delivery, or to withdraw from the fulfillment of obligations entered into. In the event of insolvency, we must be informed immediately. Delivery to companies unknown to us is cash on delivery. The withholding of payments or the offsetting of disputed counterclaims on the part of the invoice recipient are not permitted.

Retention of title/returns of goods

Delivered goods remain our property until all claims have been paid in full. If the customer is a reseller, he is entitled to resell the reserved goods within the framework of normal business transactions while securing our rights and claims. However, he is not permitted to pledge or transfer ownership by way of security. We must be informed immediately of the attachment of goods that are encumbered with our property rights, i.e. goods that belong to us. In the event of delay or behavior contrary to the contract, we are entitled to surrender all delivery items without explanation due to the retention of the title. Goods returned to us will be used accordingly, if possible, and credited to the partner's debts.

Warranty/Construction

We guarantee the delivery of flawless tools of appropriate design and the offered quality, as well as technical function with corresponding proper use or the conditions of use described by the buyer. We are not liable for hidden defects (material defects, etc.) that are beyond our control, normal wear, and tear, changes by third parties, improper use or application, as well as repairs. Notices of defects must be submitted in writing immediately or no later than 10 days after invoicing. After that, claims are forfeited. In the case of non-recognizable defects, the report must be made in writing immediately after detection. We will remedy defects recognized by us free of charge for the buyer in accordance with our decision on replacement or rectification. We assume no liability for consequential damage. The offsetting or withholding of due payments due to complaints or claims of the buyer not recognized by us is not permitted. For the rest, compensation of any kind is excluded. The warranty period is 3 months. In terms of technical advancement, we expressly reserve the right to make design changes and use other materials. Catalog illustrations and other descriptive statements are therefore non-binding. In the case of custom-made products, any warranty on the part of the supplier is excluded for excess lengths in milling and drilling tools with shanks.

Place of performance/place of jurisdiction/law

The place of performance for delivery and payment is Dornstetten. The place of jurisdiction is Dornstetten in the Black Forest. German law applies exclusively. However, we also reserve the right to sue at the customer's registered office.

General

The reprint of our catalog is not permitted, not even in part. Exceptions require our prior written consent. In the event of the ineffectiveness of individual points of the terms and conditions or if such are replaced by other agreements, the remaining content of the contract remains unaffected and is binding. With the publication of new price documents, previous price information and offers lose their validity.
